These Terms of Service ("Terms") govern access to and use of the Kestrel platform and the lead-generation and distribution services (the "Services") provided by Kestrel Global ("we", "us", "our"). By creating an account, placing an order, or using the Services, you ("Client") agree to these Terms.
We generate consented consumer enquiries ("Leads") through our own marketing funnels and deliver them to Clients that match the Lead's attributes. We provide the platform, the matching engine, and the delivery of Leads. We do not act as your agent and we do not guarantee that any Lead will result in a sale, appointment attended, or contract.
The Services are for businesses only. You must provide accurate account and business information, keep credentials secure, and are responsible for all activity under your account.
You place an Order specifying the Leads you wish to purchase (service, geography, budget, quantity, exclusivity, and quality tier) and the price per Lead. Orders are prepaid: you fund the Order before Leads are delivered. We charge the agreed per-Lead price for each Lead delivered against your Order, up to the ordered quantity. Prices are in US dollars unless stated otherwise. Applicable taxes are your responsibility.
Leads are delivered electronically (for example by webhook or into your connected system) in real time as matches occur, subject to your Order's pacing and caps. Delivery is deemed complete when the Lead is transmitted to your configured destination.
Our Refunds & Replacements Policy forms part of these Terms and describes when a delivered Lead may be returned and replaced, and the limited circumstances in which a monetary refund of an unused, prepaid balance is available. See Refunds & Replacements.
Your use of Leads is subject to our Acceptable Use Policy. You may contact a Lead only for the purpose the Lead consented to, must comply with all applicable marketing, telemarketing, anti-spam and data-protection laws, and must not resell, redistribute or misuse Leads.
Each party will comply with applicable data-protection laws. We process personal data as described in our Privacy Policy. As between the parties, once a Lead is delivered to you, you act as an independent controller of that personal data and are responsible for your lawful use of it.
We retain all rights in the platform, software, and our marks. You receive a limited, non-transferable right to use the Services during your Order term.
We provide the Services with reasonable skill and care and represent that Leads are generated with consent as described. Except as expressly stated, the Services and Leads are provided "as is" and we disclaim all other warranties to the maximum extent permitted by law, including any warranty that a Lead will convert.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us in the three (3) months preceding the event giving rise to the claim.
You will indemnify us against claims arising from your use of the Leads or the Services in breach of these Terms or applicable law.
Either party may stop using or providing the Services on notice. We may suspend or terminate access for breach, non-payment, or unlawful use. On termination, any unused, prepaid Order balance is handled per the Refunds & Replacements Policy.
These Terms are governed by the laws of the jurisdiction in which Kestrel Global is incorporated, without regard to conflict-of-law rules. The specific governing law and exclusive venue for disputes are set out in your executed order agreement; in the absence of such agreement, the courts of that jurisdiction have exclusive jurisdiction.
We may update these Terms; material changes will be notified to account holders. Continued use after changes take effect constitutes acceptance.
